A. Quorum.

1. Pursuant to Article VI, Section 3 of the Constitution, each meeting of the Tribal Council will require a quorum. A quorum will be necessary to transact official business of the Tribal Council.

2. Quorum will be four (4) of the seven (7) members of the Tribal Council. In the event that less than seven (7) members of the Tribal Council are seated, a majority of the seated members of Tribal Council shall constitute a quorum.

3. Quorum may be established only by the physical presence of members of Tribal Council, except when a special or emergency meeting has been duly called and noticed pursuant to Section 1-207(B)(4) or (B)(5).

4. Quorum must be established within thirty (30) minutes of the initial roll call. When the Spokesperson calls for a roll call and there are not enough members of the Tribal Council present to constitute a quorum, the Tribal Council members present shall do the following:

a. If the members of Tribal Council present determine that quorum will likely be established in thirty (30) minutes, the members of Tribal Council will wait an additional thirty (30) minutes. If enough members of the Tribal Council are present to establish quorum before the thirty (30) minutes are up, the Spokesperson may call for the roll call.

b. If the members of the Tribal Council present determine that a quorum will not likely be established in thirty (30) minutes, the Tribal Council members will be able to immediately determine whether to wait an additional thirty (30) minutes, reschedule the start time to later that day, or postpone the meeting to another day.

c. If the members of the Tribal Council present determine to wait an additional thirty (30) minutes pursuant to subsection (A)(4)(a) of this section and quorum is not reached within thirty (30) minutes of roll call, the members of the Tribal Council present will determine whether to wait an additional thirty (30) minutes, reschedule the start time to later that day, or to postpone the meeting to another day.

B. Open Meetings.

1. Attendance by Members. All meetings of the Tribal Council will be open to members of the Tribe, except when in executive session.

2. Attendance by Nonmembers. The Tribal Council may close any open meeting to nonmembers of the Tribe. However, nonmembers may attend open meetings of the Tribal Council; provided, that they are:

a. Asked by the Tribal Council to attend the meeting; or

b. Have a purpose at the meeting recognized by the Tribal Council.

3. Any member of the Tribal Council or the Tribe or nonmember who attends a meeting of the Tribal Council and becomes disruptive will be asked to cease the disruptive behavior by the Spokesperson. If the individual continues to engage in disruptive behavior, the Spokesperson may require the individual to leave the meeting.

C. Executive Session.

1. The Tribal Council may at any time, upon a duly recorded vote, go in and out of executive session. Executive session shall be used only for purposes of addressing confidential legal and business issues.

2. During the executive session portion of the meeting, all persons will be excluded from the meeting, except the Chairperson and Vice-Chairperson, members of the Tribal Council, and any other person whose presence is requested by the Tribal Council.

3. If a matter personally impacts the Chairperson, Vice-Chairperson, or a member of the Tribal Council, that individual may voluntarily leave the meeting or the Tribal Council may vote to have those affected individuals not participate in that portion of the executive session.

4. Any minutes from the executive session portion of a Tribal Council meeting will be kept strictly confidential and may only be released to and reviewed by members of the Tribal Council, the Chairperson, Vice-Chairperson, and authorized legal counsel.

D. Order of Business. Tribal Council meetings shall generally proceed under the following order of business:

1. Call to order.

2. Roll call.

3. Determination of quorum.

4. Approval of agenda.

5. Approval of Tribal Council minutes.

6. Chairperson’s report.

7. Legal report.

8. Other reports.

9. Unfinished business.

10. New business.

11. Adjournment.

E. Voting.

1. Requirement for Approval. Any Tribal Council action shall be determined by a majority vote of the Tribal Council participating in the Tribal Council meeting, unless a greater vote is specified in the Constitution.

2. Call for the Vote. After the Spokesperson has called for the vote, deliberation on the matter shall cease. A member of the Tribal Council may not explain his or her vote while voting.

3. Announcing Results. When the voting is complete, the Spokesperson shall announce the results by reporting whether the motion or resolution is adopted or fails. Following the announcement of results, the Spokesperson shall announce the next item of business on the agenda.

4. Proxy Voting. No proxy voting shall be allowed. Each member of the Tribal Council may cast only his or her vote. (Res. 2018-68; Res. 2015-23; Res. 2014-36; Res. 2012-20)
